Cloudpixs Terms of Service

By accessing or using Cloudpixs, you agree to be bound by these Terms of Service, our Privacy Policy, and any other policies incorporated here by reference. Please read these Terms carefully before using the service. If you do not agree, do not use Cloudpixs.

These Terms form a legally binding contract between you and Gillette Printing and Engraving d/b/a Cloudpixs, located at 101 West Lakeway Rd, Gillette, Wyoming 82718, reachable at support@cloudpixs.com.

Who Can Use Cloudpixs

You must be at least 13 years old to use Cloudpixs. If you are between 13 and 18, you represent that you have obtained parental or guardian consent. You must be a human individual — accounts registered by bots or automated methods are not permitted. You must have the legal authority to enter into a binding contract in your jurisdiction. If you are using Cloudpixs on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

What Cloudpixs Does

Cloudpixs offers AI-powered photo and video organization services. The one-time Photo Dump is a single-session service: you upload your files, we process them with AI, and you receive a download link to your organized, ZIP-compressed library. Files are deleted from our servers 14 days after your download link is generated.

For subscribers, we offer hosted photo library storage with ongoing AI organization features. Subscription tiers — Free, Starter, Family, Plus, and Enterprise — each have different storage limits and features as described on our Pricing page at cloudpixs.com/pricing.

We also offer shared albums and gallery links that let you share organized collections with other people via unique URLs, with optional password protection, expiration dates, and download permissions. Photo book products are available for all account tiers, fulfilled by Blurb, Inc. for shipment anywhere in the US, or by Gillette Printing and Engraving for Wyoming customers.

AI organization features include EXIF extraction, GPS-to-location mapping, scene and object recognition, face detection and clustering, duplicate detection, event grouping, and quality scoring. Feature availability varies by service tier. We reserve the right to modify, add, or remove features with notice as described below.

Accounts

To access most features, you must create an account with a valid email address and password. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@cloudpixs.com if you suspect unauthorized access.

You may create and maintain only one free account per person. Accounts registered by bots or scripts are not permitted, and we reserve the right to merge or terminate duplicate accounts. For one-time Photo Dump orders, you may place an order without creating an account by providing your email address. Guest orders are subject to these Terms in full.

Your Content

Your photos, videos, and other files remain yours. Cloudpixs claims no ownership rights over your content.

By uploading your files to Cloudpixs, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, copy, transmit, and process your content solely to provide the service to you — including generating organized folders, thumbnails, previews, and ZIP archives, performing AI analysis to power organization features, and displaying your content to you and to recipients of albums you choose to share. This license is granted solely to operate the service and does not authorize us to use your content for advertising, sale to third parties, or any other purpose. The license ends when your files are deleted from our systems.

In addition to the above, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use anonymized and de-identified metadata derived from your content — such as GPS coordinates, scene tags, EXIF data, and file statistics — for business intelligence and commercial purposes as fully described in our Privacy Policy. This metadata license survives deletion of your files and your account because the metadata is anonymized and cannot be linked back to you.

By uploading content, you represent that you own it or have all necessary rights and permissions to upload it and grant us the licenses above, that your content does not infringe any third party's intellectual property or privacy rights, that it does not violate any applicable law, and that if your content includes images of other people, you have their consent or the legal authority to upload and process those images.

Acceptable Use

You agree to use Cloudpixs only for lawful purposes. You may not upload, store, share, or transmit content that is illegal under applicable law; that constitutes child sexual abuse material or any sexual content involving minors — violations will be reported immediately to NCMEC and law enforcement; that is defamatory, constitutes harassment or threats, or infringes any intellectual property right; or that you do not have the right to upload.

You may not attempt to gain unauthorized access to our systems or other users' accounts, use automated tools to access the service without our written permission, reverse engineer any part of the service, interfere with or disrupt the service or related systems, upload malware or malicious code, use the service to send unsolicited commercial communications, circumvent any access controls or usage limits, use the service for commercial resale without our written permission, or misrepresent your identity.

Your use of the service is subject to the storage limits associated with your subscription tier. We reserve the right to monitor for violations, remove content, suspend accounts, or terminate access in our sole discretion, and to cooperate fully with law enforcement regarding any illegal content or activity.

Payment, Billing, and Subscriptions

All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service at stripe.com/terms. We do not store your full payment card number.

Subscriptions are billed on a recurring basis — monthly or annually depending on the plan you select — beginning on the date you first subscribe and renewing automatically until you cancel. You authorize Cloudpixs to charge your payment method on file for all subscription fees, applicable taxes, and any other charges incurred in connection with your account.

We may change subscription prices from time to time and will give you at least 30 days' advance notice by email before any price change takes effect. If you do not cancel before the new price takes effect, you consent to the new price. You are responsible for all applicable taxes on your purchases.

If your payment fails, we will notify you and attempt to charge your payment method again. If payment is not received within seven days, we reserve the right to downgrade your account to the Free tier or suspend paid features. Your stored files will not be deleted for non-payment unless your account remains delinquent for more than 30 days beyond the payment due date, at which point we will send a final notice before any deletion occurs.

Refunds and Cancellations

You may cancel your subscription at any time from your account settings page. Cancellation takes effect at the end of your current billing period and you retain access to paid features through the end of the period for which you have paid. We do not provide prorated refunds for partial subscription periods unless required by applicable law.

For annual subscriptions, we will send you a reminder at least 14 days before your renewal date. You may cancel before that date to avoid being charged for the next year.

We generally do not issue refunds except where a technical error on our part caused an incorrect charge, where required by applicable consumer protection law, or at our sole discretion for exceptional circumstances. Refund requests must be submitted to support@cloudpixs.com within 30 days of the charge.

One-time Photo Dump orders are non-refundable once processing has begun. If a technical failure on our part prevents delivery of your organized files, we will re-process your order or issue a full refund at your option. If you initiate a chargeback, we reserve the right to suspend your account pending resolution and to dispute the chargeback with supporting documentation.

One-Time Photo Dump Jobs

You upload your photos and videos, select your organization preferences, pay the applicable fee, and we process your files using our AI pipeline. You receive an email with a download link to your organized, ZIP-compressed library within the timeframe disclosed at checkout — typically 24 to 48 hours, but not guaranteed. The minimum order is $9.99. Pricing is based on file count and type as displayed on our Pricing page. The price shown at checkout is the price you will be charged.

Your original uploaded files and your organized output will be permanently deleted from our servers 14 days after your download link is generated, regardless of whether you downloaded them. We will attempt to send a reminder email before deletion, but we cannot guarantee delivery of that reminder. It is your responsibility to download your files within the 14-day window. Cloudpixs is not liable for any loss of data resulting from automatic deletion after that period.

AI organization quality depends on the quality and metadata content of your uploaded files. We make reasonable efforts to produce accurate results, but we do not guarantee that all photos will be correctly categorized, that all faces will be correctly identified, or that all GPS data will be correctly mapped. We do not offer refunds based on dissatisfaction with AI organization quality. For uploads over 10,000 files, processing time may exceed the typical window and we will notify you of any significant delay.

Subscriber Libraries

Your library is stored on our NAS infrastructure in Gillette, Wyoming, in an isolated, access-controlled directory associated with your account. Storage is limited to the amount associated with your subscription tier. If you reach your limit, you will not be able to upload additional files until you upgrade or delete existing files. Enterprise tier subscribers may purchase additional storage at the overage rate shown on our Pricing page.

We maintain backup procedures to protect against data loss, but we do not guarantee that your files will never be lost. You are responsible for maintaining your own independent copies of any files you upload. Cloudpixs is not a substitute for a personal backup strategy.

You may access your library at any time through your account. We strive for high availability but do not guarantee uninterrupted access. You may download your organized library by album at any time as ZIP archives. We do not offer a single-click bulk export of your entire library.

When you cancel your subscription, you have a 30-day grace period to download your files. We will send at least one email notification before your files are deleted. After the grace period, your files are permanently and irrecoverably deleted. Cloudpixs is not liable for any loss resulting from your failure to download your files before the grace period expires.

Shared Albums and Gallery Links

When you create a shared album or gallery link, you are responsible for all content in that album. Shared links are publicly accessible to anyone with the link unless you enable password protection. You assume full responsibility for any consequences of sharing content via gallery links, including accidental disclosure. While shared links are not publicly indexed by Cloudpixs, we cannot guarantee that a shared link will remain private if a recipient shares it further — password-protect sensitive albums. You may revoke a shared album link at any time from your account dashboard. Revocation takes effect immediately.

Photo Book Orders

Photo book orders are fulfilled by Blurb, Inc. for nationwide shipping or by Gillette Printing and Engraving for Wyoming customers. Production and shipping times vary and are estimated at checkout. Due to the custom, personalized nature of photo books, we do not accept returns unless the product arrives damaged or contains a production defect. Contact support@cloudpixs.com with photos of the defect within 14 days of receipt and we will arrange a reprint or refund. By placing an order, you confirm that all content in the book is content you own or have the right to reproduce. Orders fulfilled by Blurb are also subject to Blurb's Terms of Service at blurb.com/about/tos.

AI Processing and Biometric Data

By using our AI-powered organization features, you consent to AI processing of your files as described here and in our Privacy Policy.

Face-based organization is an optional feature. By enabling it, you consent to the collection and processing of biometric identifiers — specifically facial geometry — from photos in your library. You represent that you have the right to upload photos of the people appearing in them and to consent to their biometric processing on their behalf. Face cluster data is retained as part of your library organization while your account is active and is deleted when you disable the feature or delete your account.

Illinois residents should note that face-based organization features are subject to the Biometric Information Privacy Act. We will obtain your explicit written consent before activating face processing if you are an Illinois resident.

AI organization results, including face clustering, scene recognition, and location mapping, are probabilistic estimates. We do not guarantee accuracy. Our face clustering system operates only within your own library — we do not use it to identify individuals in photos you did not upload, to build facial recognition profiles for third-party use, or to match faces across different users' libraries.

Intellectual Property

The Cloudpixs name, logo, website design, software, AI models, and organizational algorithms are owned by or licensed to Gillette Printing and Engraving and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in Cloudpixs's intellectual property. You may not use our name, logo, or branding without written permission, or copy, modify, or create derivative works based on our software. If you provide feedback or suggestions about the service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation.

DMCA and Copyright Complaints

If you believe content on Cloudpixs infringes your copyright, send a DMCA-compliant notice to dmca@cloudpixs.com or by mail to Gillette Printing and Engraving, Attention: DMCA Agent, 101 West Lakeway Rd, Gillette, WY 82718. Your notice must include a physical or electronic signature of the copyright owner or authorized agent, identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is not authorized, and a statement under penalty of perjury that the information is accurate and you are authorized to act. We will respond to valid notices and may remove or disable access to infringing content. Repeat infringers may have their accounts terminated.

Privacy

Your use of Cloudpixs is subject to our Privacy Policy, incorporated into these Terms by reference. By using the service, you consent to the data practices described there. In summary, we do not sell your personal information, your photos are deleted on the schedule described in these Terms and the Privacy Policy, anonymized metadata may be used for commercial purposes as disclosed, and biometric data is only collected with your consent and deleted when your account is deleted or you disable the feature.

Disclaimers

The service is provided as-is and as-available without warranties of any kind. To the fullest extent permitted by applicable law, Cloudpixs and Gillette Printing and Engraving disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI results, uninterrupted access, and data preservation. AI features including face detection, scene recognition, and location mapping are probabilistic and may produce errors. Cloudpixs is not a backup service — you should maintain independent copies of any files you upload. Some jurisdictions do not allow the exclusion of implied warranties; to the extent they cannot be disclaimed, they are limited in duration to 90 days from the date of your most recent purchase.

Limitation of Liability

To the fullest extent permitted by applicable law, Cloudpixs and Gillette Printing and Engraving and their officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, punitive, or consequential damages; loss of profits, revenue, data, business, or goodwill; loss of your photos or videos even if we were advised of the possibility of such loss; damages from unauthorized access to your account; damages from third-party conduct; or service interruptions. Our total liability to you for all claims will not exceed the greater of the total amount you paid to Cloudpixs in the 12 months preceding the event giving rise to the claim, or $50.00 USD. Some jurisdictions do not allow these limitations, in which case our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Cloudpixs, Gillette Printing and Engraving, and their officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or connected with your use of the service, your content, your violation of these Terms, your violation of any applicable law or third-party rights, or your use of shared album features to share content with others.

Termination

You may stop using the service and delete your account through your account settings at any time. Termination does not entitle you to a refund except as described above.

We may suspend or terminate your account and access to the service, with or without notice, if you breach these Terms or our Privacy Policy, engage in prohibited conduct, upload illegal content including CSAM, or if continuing to provide service to you would expose Cloudpixs to legal liability. We may also terminate free accounts that have not been accessed for 12 consecutive months. Where we terminate for a non-material breach, we will provide reasonable notice and an opportunity to download your content. For material breaches, we may terminate immediately.

Upon termination, your license to use the service ends immediately, your files will be deleted on the schedule described above, outstanding payment obligations survive, and all provisions that by their nature should survive — including content license, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will remain in effect. If we discontinue the service entirely, we will provide at least 30 days' advance notice and give you the opportunity to download your content. Subscribers on paid plans will receive a prorated refund for unused prepaid subscription time.

Dispute Resolution and Arbitration

Before filing any claim, you agree to first attempt to resolve the dispute informally by sending a written Notice of Dispute to legal@cloudpixs.com including your name, account email, a description of the dispute, and the relief you are seeking. We will attempt to resolve the dispute within 60 days. If it is not resolved, either party may proceed to arbitration.

If informal resolution fails, you and Cloudpixs agree to resolve all disputes through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, available at adr.org. Arbitration will take place in Campbell County, Wyoming, or by telephone or video if you prefer, conducted by a single neutral arbitrator. The arbitrator may award any relief a court could award, but only on an individual basis. You and Cloudpixs agree that each may bring claims only in your or its individual capacity — not as a plaintiff or class member in any class or representative action.

Either party may pursue claims in small claims court in Campbell County, Wyoming, or the county where you reside. Either party may seek injunctive or equitable relief in any court of competent jurisdiction without first going through arbitration. You may opt out of arbitration by sending a written notice to legal@cloudpixs.com within 30 days of first agreeing to these Terms.

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. If arbitration does not apply or you have opted out, you agree to the exclusive jurisdiction of the state and federal courts located in Campbell County, Wyoming. If you are a consumer where mandatory local consumer protection laws apply, nothing in these Terms limits your rights under those laws.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date and post the revised Terms at cloudpixs.com/terms. For material changes that meaningfully affect your rights or obligations, we will notify you by email at least 30 days before the change takes effect. Your continued use of the service after updated Terms become effective constitutes acceptance. If you are on a paid plan and close your account due to a material change you disagree with, we will issue a prorated refund for unused prepaid subscription time.

General

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Cloudpixs with respect to the service. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign your rights or obligations without our prior written consent. We may assign ours in connection with a merger, acquisition, or sale of assets, with notice. We will not be liable for failures or delays resulting from causes beyond our reasonable control. These Terms do not confer rights on any third party. You consent to receive communications from us electronically. These Terms are written in English; if translated, the English version controls in any conflict.
